Spice Mobiles & Televentures To merge into SPICE MOBILITY

Spice group to merge its two subsidiaries listed Spice Mobiles & unlisted Spice Televentures to form a new entity Spice Mobility that will invest Rs 1000 crore over the next two years.

Spice Mobiles is the mobile handset company of the group and Modi, chairman of Spice Televentures, told TOI from Singapore that apart from the Indian market, it has presence in neighbouring Nepal and Bangladesh. “We have plans to increase the number of handset products that we offer from 20-25 to more than 100 in the coming time.”

BSR & Co valued Spice Mobiles‘ at Rs 109 per share and Spice Televentures at Rs 862 per share. The boards of the two companies accepted a swap ratio of 7.91 shares of Spice Mobiles for every one share held in Spice Televentures.
Spice Mobiles had revenues of Rs 702 crore in the nine months ending December 30, up from Rs 374.5 crore in the same period last fiscal. Net profit for the company in the period was at Rs 47.5 crore against a loss of Rs 6.8 crore in the year-ago period.

Spice Televentures is the holding company for the group’s telecom businesses and its subsidiaries include Spice Digital, the mobile value-added service business through which it offers internet solutions to nearly all operators of the country. Another subsidiary is Spice Retail
, that sells mobile phones and accessories under the HotSpot brand. “We plan to increase the number of outlets in this from the existing 600 to about 5000 in the next three years. Currently, we do a business of about Rs 2000 crore through both the companies and hope to grow this to Rs 5000 crore over the next three years,” Modi said.

The group may raise funds for expansion through qualified institutional placement, that may include getting in a “strategic investor” for new technology or product. “The promoters will have more than 85% holding in the new company and we can easily dilute by another 20%.”
